Terms & Conditions

 

​​Studio Terms & Conditions — Rococo Designs

These Terms & Conditions govern all engagements between Rococo Designs ("the Studio") and any individual or entity ("the Client") commissioning design services.

1. Nature of Services

Rococo Designs is a textile design service studio offering original digital design development, custom textile artwork, surface pattern design, placement print design, and selected digital design downloads. The Studio does not manufacture, print, or supply physical fabric, garments, or finished goods unless clearly stated otherwise. All deliverables are digital in nature.

2. Custom Design Projects

Custom design projects are undertaken based on a confirmed brief, reference material, and agreed scope of work. Work will begin only after receipt of the required advance payment and final project confirmation. Timelines, deliverables, and revision scope will be communicated separately in the project proposal, quotation, or written discussion.

3. Digital Downloads

Certain designs may be offered as ready digital downloads through the Studio’s website or online shop. These are digital products created by Rococo Designs and made available subject to the usage rights mentioned at the time of sale. Digital downloads are non-refundable once delivered or made available for access.

4. Payments

Unless otherwise agreed in writing, a 50% advance payment is required to begin custom design work. The remaining balance must be cleared before release of final files. Rococo Designs reserves the right to withhold final deliverables, editable files, or production-ready artwork until all outstanding payments have been settled.

5. Intellectual Property

All artwork, concepts, layouts, repeat patterns, placement designs, and digital files created by Rococo Designs remain the intellectual and creative property of the Studio unless otherwise agreed in writing. This includes self-initiated studio designs, portfolio artworks, and digital download collections.

Commissioning a custom project does not automatically transfer full ownership of the Studio’s creative methods, process, or pre-existing design library. Only the specific rights expressly agreed for the commissioned design will apply.

6. Ownership and Usage of Custom Work

Upon receipt of full and final payment, the Client will receive the agreed usage rights for the commissioned design as defined in the proposal or project agreement. Any ownership, exclusivity, licensing rights, or transfer of artwork must be clearly stated in writing. If no separate written agreement exists, usage rights shall be limited to the approved purpose for which the design was commissioned.

7. Restrictions on Digital Resale and Redistribution

Designs supplied by Rococo Designs, whether purchased as digital downloads or commissioned as custom artwork, may be used only as permitted by the agreed license or project scope. Clients may not resell, redistribute, sublicense, share, upload, transfer, or make the design files available in digital format unless expressly authorized in writing by Rococo Designs.

The design files, whether edited or unedited, may not be sold as digital products, stock artwork, print files, templates, downloadable assets, or design resources on any platform without written permission from the Studio.

8. File Delivery

Final files are delivered digitally after completion of the approved work and receipt of full payment. File formats, layered files, editable artwork, and production-ready outputs will be shared only if included in the agreed scope of work or product listing. Rococo Designs is not responsible for delays caused by incomplete briefs, pending approvals, delayed feedback, or missing project information from the client side.

9. Revisions and Additional Work

Revision rounds, if included, will be handled as per the project proposal or quotation. Any work requested beyond the agreed revision scope, including fresh concepts, redesigns, additional colourways, or significant layout changes, may be treated as a separate paid service.

10. Refunds and Cancellations

Advance payments made toward custom projects are non-refundable once the project has commenced. Digital downloads are also non-refundable due to the nature of digital file delivery. If a project is paused, cancelled, or discontinued after work has begun, Rococo Designs reserves the right to charge for the work completed up to that stage.

11. Client Responsibilities

Clients are responsible for providing a clear brief, accurate references, timely approvals, and complete project information. Rococo Designs will not be held responsible for errors arising from incorrect client instructions, delayed communication, or approvals given without proper review.

12. Portfolio Rights

Unless otherwise agreed in writing, Rococo Designs reserves the right to display completed work, previews, or approved project outcomes in its portfolio, website, presentations, or promotional material for the purpose of showcasing studio work. Confidential business information will not be disclosed.

13. Amendments

Rococo Designs reserves the right to update these Terms & Conditions from time to time. The version in effect at the time of project confirmation or purchase shall apply to that engagement.
